1. Acceptance of These Terms
By accessing or using the website https://nsnglobalservices.com (the “Site”), any mobile applications, platforms, portals, or online services we offer (collectively, the “Services”), or by clicking “I Accept,” creating an account, or otherwise indicating your consent, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”), our Privacy Policy, and any applicable additional terms or policies. If you do not agree, you must immediately cease all use of the Site and Services.
2. Definitions
- “NSN,” “we,” “us,” or “our” means NSN Global Services LLC, a Delaware limited liability company, and its subsidiaries, affiliates, officers, directors, employees, agents, and successors.
- “You” or “User” means any individual or entity accessing or using the Site or Services.
- “Content” means all text, graphics, images, software, AI models, data, audio, video, and other materials made available through the Site or Services.
- “Services” includes LearnSphere, InsightEngine, EduBuild, TalentForge, NSN OneWorld, and any other platforms, tools, or programs we provide.
3. Eligibility and User Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Services. Certain features (e.g., account creation, demo access, or investor portals) require registration. You agree to provide accurate, current, and complete information and to update it promptly. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We reserve the right to suspend or terminate accounts at our sole discretion.
4. License and Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services solely for your internal business, educational, or personal evaluation purposes. Any commercial exploitation, reverse engineering, scraping, or competitive use is strictly prohibited.
5. User Conduct and Prohibited Activities
You agree not to:
- Violate any applicable law, regulation, or third-party right;
- Transmit harmful code, viruses, or attempt to interfere with the Services;
- Use the Services to develop competing products or services;
- Upload or transmit unlawful, defamatory, obscene, or infringing content;
- Engage in automated data collection (crawling, scraping, harvesting) without express written permission;
- Impersonate any person or entity or misrepresent your affiliation;
- Attempt to gain unauthorized access to any part of the Services or related systems.
We may monitor, investigate, and remove content or terminate access for violations.
6. Intellectual Property Rights
All Content, trademarks, service marks, logos, patents, copyrights, trade secrets, AI models, algorithms, software, designs, and other intellectual property on or underlying the Services are owned exclusively by NSN or its licensors and are protected by U.S. and international copyright, trademark, patent, and other laws.
Trademark Protection
The name “NSN”, all official logos of the NSN, and any variations of NSN (including but not limited to stylized versions, word marks, design marks, and composite marks) are protected trademarks both in word and image format. These marks are owned exclusively by NSN Global Services LLC. Any unauthorized use of these trademarks is strictly prohibited and may constitute trademark infringement under U.S. and international law. You may not use “NSN”, any NSN logo, or any confusingly similar name, mark, or design in any manner (including domain names, social media handles, product names, or advertising) without our prior written permission. All rights not expressly granted are reserved.
Except as expressly permitted in these Terms, you may not copy, modify, distribute, reproduce, publicly display, publicly perform, or create derivative works from any Content or intellectual property. All rights not expressly granted herein are reserved by NSN.
7. User Content and Submissions
By submitting any content, feedback, suggestions, or data (“User Content”), you grant us a perpetual, irrevocable, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any form and for any purpose, including improving our AI models and Services. You represent that you own or have all necessary rights to grant this license and that your User Content does not infringe any third-party rights.
8. AI-Generated Content and Educational Tools
Our AI features (including but not limited to LearnSphere) generate content based on probabilistic models. Such content is provided “as is” for informational and illustrative purposes only and is not guaranteed to be accurate, complete, or free from bias. You acknowledge that AI outputs may contain errors, hallucinations, or outdated information. NSN is not liable for any reliance on AI-generated content. The Services are not a substitute for professional educational, legal, medical, financial, or other advice.
9. Third-Party Links and Services
The Site may contain links to third-party websites or services. We are not responsible for their content, privacy practices, or availability. Your interactions with third parties are governed solely by their terms.
10. Privacy
Your privacy is important to us. Please review our [Privacy Policy](https://nsnglobalservices.com/privacy), which is incorporated into these Terms by reference and describes how we collect, use, and share your information, including our compliance with GDPR/UK GDPR for applicable users.
11. Payments and Billing (if applicable)

12. Disclaimers and Warranties
THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR AI OUTPUTS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NSN AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. These limitations apply even if any remedy fails of its essential purpose.
14. Indemnification
You agree to indemnify, defend, and hold harmless NSN, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Services, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third-party rights.
15. Termination
We may terminate or suspend your access to the Services at any time, with or without cause or notice. Upon termination, all licenses granted to you cease immediately, and you must cease all use of the Services.
16. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them shall be governed exclusively by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws principles. Any dispute shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association in Wilmington, Delaware, under its Commercial Arbitration Rules. You waive any right to a jury trial or to participate in a class action. Notwithstanding the foregoing, we may seek injunctive relief in any court of competent jurisdiction. For UK/EU users, nothing in this section limits your right to bring claims in your local courts where mandatory consumer protection laws so require.
17. Changes to These Terms
We may modify these Terms at any time. We will post the revised version with a new “Last Updated” date. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
18. Export Controls and Sanctions
You represent that you are not located in, or a national of, any country subject to U.S. export restrictions or sanctions. You agree to comply with all applicable export control and sanctions laws.
19. Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government orders, or internet disruptions.
20. Miscellaneous
- These Terms constitute the entire agreement between you and NSN.
- If any provision is held invalid, the remainder remains in full force.
- Our failure to enforce any right does not constitute a waiver.
- We may assign these Terms without restriction. You may not assign without our prior written consent.
- All notices must be in writing.
